Acceptance of Terms

By checking the acceptance box during the purchase process, or by otherwise using the Service, you agree to be bound by these Terms and form a binding agreement with TCKT. If you do not agree, you may not use the Service.

TCKT may modify these Terms at any time. Updated Terms take effect when posted on the platform. We will use reasonable efforts to notify you of material changes (e.g., by email or a notice on the platform). Your continued use after changes take effect constitutes acceptance of the modified Terms.

Privacy

Personal information collected from you is handled in accordance with TCKT's Privacy Policy, which is incorporated into these Terms by reference. We collect, use, and disclose personal information in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA), Quebec's Act respecting the protection of personal information in the private sector (Law 25), and other applicable Canadian privacy legislation.

Role of TCKT as Ticketing Agent

TCKT operates a ticketing platform that facilitates the sale of tickets on behalf of third-party event organizers, promoters, and venue operators (each an "Event Organizer"). Unless expressly stated otherwise, TCKT acts as a limited agent of the Event Organizer for the purpose of selling tickets, processing payment, and delivering tickets to you. The Event Organizer is solely responsible for the event itself — its production, content, conduct, scheduling, venue conditions, and safety.

Issues relating to the event experience (including refund eligibility for cancelled, postponed, or materially changed events) are governed by the Event Organizer's policies in addition to these Terms. Where policies conflict, the Event Organizer's policy governs with respect to the underlying event, provided that nothing displaces your rights under mandatory consumer-protection law.

Dispute Resolution

(a) Informal Resolution First

Before commencing any formal proceeding, you agree to first contact TCKT at info@tckt.shop and to attempt in good faith to resolve the dispute informally for at least thirty (30) days. Most concerns can be resolved this way.

(b) Mediation and Arbitration (Non-Quebec Residents)

If you are not a resident of Quebec and informal resolution fails within thirty (30) days, the parties agree to attempt private mediation administered by the ADR Institute of Canada ("ADRIC") or another mutually agreed mediator. If mediation does not resolve the dispute within sixty (60) days, either party may submit the dispute to binding arbitration administered by ADRIC in Toronto, Ontario, conducted in English under Ontario law. The arbitrator's award is final and binding.

(c) Quebec Residents

If you are a resident of Quebec, nothing in these Terms prevents you from bringing a dispute before the courts of Quebec, including the Court of Quebec (Small Claims Division), or from exercising any recourse available under the Consumer Protection Act. The arbitration provisions in section 4(b) do not apply to Quebec residents.

(d) Class Action Waiver (Non-Quebec Residents Only)

To the maximum extent permitted by applicable law, you and TCKT each agree that any arbitration or proceeding shall be conducted in your individual capacity only, not as a class or representative action. This waiver does not apply to Quebec residents.

(e) Small Claims Exception

Either party may bring an action in a court having jurisdiction over small claims (e.g., the Ontario Small Claims Court or the Small Claims Division of the Court of Quebec) for disputes within that court's monetary jurisdiction.

(f) Governing Law and Venue

Subject to section 4(c) and applicable mandatory consumer-protection law, these Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.

Use of the Service

Use of the Service is void where prohibited by law. You must be at least 18 years of age (or 19 where required by applicable provincial law, including Ontario for events serving alcohol) to use the Service. You agree to comply with all applicable laws whenever you use the Service.

Ticket Purchases

All prices are displayed in Canadian dollars (CAD) unless stated otherwise. You agree to pay all charges including the ticket price, applicable service fees, and applicable taxes (GST/HST, QST, and any other taxes required by law) at the prices in effect when charges are incurred.

You may only use payment methods that belong to you or that you are expressly authorized to use. You agree not to use automated means (including bots or scripts) to place orders or attempt to circumvent purchase limits.

TCKT may, without prior notice, limit ticket quantities, block access, or cancel any order we believe in good faith is associated with resellers, placed using automated means, exceeds the per-purchaser limit, or otherwise violates these Terms. If we cancel an order on these grounds, we will refund the ticket price to the original payment method.

TCKT reserves the right to correct pricing or listing errors. If the amount paid is incorrect due to a pricing error or technical issue, TCKT may cancel the affected order and refund the amount paid.

Purchase Confirmation

After submitting payment, you should receive a confirmation email with your electronic ticket(s). If you do not receive a confirmation or experience an error during checkout, it is your responsibility to contact TCKT support at info@tckt.shop to confirm whether the order was placed. TCKT is not responsible for losses arising from your failure to follow up on a missing confirmation.

Refunds and Exchanges

Except as expressly set out in these Terms, the Event Organizer's policy, or as required by applicable law, all sales are final and non-refundable. TCKT is not obligated to issue refunds or exchanges for lost, stolen, damaged, or destroyed tickets, or for tickets invalidated due to a breach of these Terms.

If a refund is issued, it will be returned to the original payment method for the amount paid. Where the Event Organizer is the merchant of record for the underlying ticket, refund eligibility is determined by the Event Organizer's policy.

Chargebacks: You agree to contact TCKT to attempt to resolve any billing concern before initiating a chargeback with your card issuer. If you initiate a chargeback that we determine in good faith to be unjustified, we may cancel the related order and any future orders associated with the same payment method or account.

Cancelled, Postponed, or Rescheduled Events

The Event Organizer may cancel, postpone, reschedule, or materially change an event. Where this occurs:

Cancelled event: You are typically entitled to a refund of the ticket price as set out in the Event Organizer's policy and subject to applicable law.

Postponed or rescheduled: Your ticket will generally be honoured at the rescheduled date, or a refund may be offered at the Event Organizer's discretion.

Service fees may or may not be refundable depending on the Event Organizer's policy and applicable law.

Quebec residents retain all rights under the Consumer Protection Act with respect to cancelled or materially changed events. TCKT will not be liable for travel, accommodation, or other incidental expenses incurred in connection with a cancelled or rescheduled event.

Entry to the Event

Each ticket is a revocable licence to attend a specific event, subject to additional terms imposed by the Event Organizer or venue. The Event Organizer and venue reserve the right, without refund, to refuse admission to or eject any person whose conduct they deem disorderly, who uses abusive language, or who fails to comply with venue rules.

As a condition of entry, you may be required to consent to a search of your person and belongings. Prohibited items (including weapons, illegal substances, recording equipment, outside food and beverages, and large bags) may be confiscated. Event dates, times, venues, lineups, and content are subject to change.

Warning Regarding Live Events

Recording, Transmission, and Likeness

You agree not to record, broadcast, or transmit any audio, video, or photographic reproduction of an event for commercial purposes without prior written consent of TCKT and the Event Organizer.

By attending an event, you acknowledge that your image, likeness, and voice may be captured in photography, video, or audio recordings made by or on behalf of TCKT or the Event Organizer, and you grant TCKT and the Event Organizer a non-exclusive, royalty-free, worldwide licence to use such recordings for promotional and operational purposes, in any medium, without further compensation. If you object to being recorded, please contact us in advance.

Resale of Tickets; Commercial Use

Resale of tickets is permitted only to the extent allowed by applicable law and the Event Organizer's policy. Unlawful or fraudulent resale — including resale above any cap set by Ontario's Ticket Sales Act, 2017, or resale of tickets obtained through bots — is grounds for cancellation of the ticket without refund. Tickets may not be used for commercial purposes (advertising, promotions, contests, or sweepstakes) without TCKT's prior written authorization.

Intellectual Property

The Platform and all software, content, trademarks (including the TCKT name and logo), and other materials are owned by TCKT or its licensors and protected by Canadian and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for personal, non-commercial purposes. You may not copy, modify, distribute, reverse-engineer, decompile, scrape, or create derivative works from any part of the Platform except as expressly permitted in writing.

Your Representations and Warranties

You represent and warrant that all information you provide (including your name, contact information, and payment details) is true, accurate, and complete; that you are authorized to use the payment method provided; and that your use of the Service complies with these Terms and all applicable laws.

Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless TCKT, its affiliates, and their respective directors, officers, employees, agents, and contractors from any claim, demand, loss, or expense (including reasonable legal fees) arising out of (i) your breach of these Terms, (ii) your violation of any law or the rights of a third party, or (iii) your conduct at an event. This obligation does not apply where the claim arises from TCKT's own gross negligence or intentional fault.

Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis. TCKT disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Nothing in these Terms excludes or limits any legal warranty, condition, or right that cannot lawfully be excluded, including the legal warranties of quality and fitness provided under the Consumer Protection Act (Quebec), the Sale of Goods Act (Ontario), or other applicable consumer-protection legislation.

Limitation of Liability

To the maximum extent permitted by applicable law, TCKT and its affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including loss of profits, goodwill, data, or other intangible losses — arising out of or relating to your use of the Service, even if advised of the possibility of such damages.

Where liability cannot be excluded, TCKT's aggregate liability is limited to the amount you paid to TCKT for the ticket(s) giving rise to the claim. Nothing in this section limits liability for bodily injury, gross negligence, intentional fault, or rights you have under applicable consumer-protection law.

Language

In accordance with the Charter of the French Language (CQLR c. C-11), a French-language version of these Terms is available upon request. The parties confirm that they have requested that these Terms and all related documents be drawn up in English.

General

These Terms (together with the Privacy Policy and any additional terms presented at the time of purchase) constitute the entire agreement between you and TCKT regarding the Service and supersede all prior agreements or understandings on that subject. You may not assign these Terms without TCKT's prior written consent. A failure to enforce any provision is not a waiver. If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.
